These Terms of Service (“Terms”) are the rules for using Luphia. They sit next to our Privacy Policy. If the two ever conflict on a privacy topic, the Privacy Policy controls for that topic. These Terms are written in plain language on purpose. Where the law requires something we cannot change, the law wins.
At a glance
- You own what you say Dictation text, notes, and custom writing styles you create stay yours. We only process them as needed to run Luphia, as described in the Privacy Policy.
- Dictation needs AI processors Each take sends audio (and optional context) through our hosted pipeline, which uses xAI models. Do not dictate anything you are not willing to send for that processing.
- Review before you send Speech-to-text and cleanup can be wrong. You are responsible for what you insert, copy, or submit after Luphia produces text.
- Cancel anytime Free stays free. Pro is a subscription you can cancel. Features, limits, and prices can change with notice. We do not promise a specific quota forever.
- Use it fairly Personal or internal work use is welcome. Abuse, resale of access, quota cheating, and illegal use are not. We can suspend accounts for that, and you can ask us to take another look.
Plain English: Luphia is a Windows dictation app plus a small hosted service for sign-in, plans, and AI cleanup. We will try to be a good operator. You will try to be a good user. Neither of us gets a blank check.
The agreement
By creating an account, signing in, downloading, installing, or using Luphia or luphia.ai, you agree to these Terms. If you do not agree, do not use the service.
If you use Luphia on behalf of a company or other organization, you confirm you have authority to bind that organization, and “you” includes that organization.
We may update these Terms as the product evolves. The Last updated date at the top will change when we do. Material changes may also appear on the changelog or in-app. Continued use after an update means you accept the revised Terms, except where applicable law requires additional consent. If a change is material and you do not agree, stop using Luphia and cancel any paid plan before the new Terms apply to you.
Who we are
“Luphia,” “we,” and “us” mean the operator of the Luphia product and website, currently Vincent Ippolito, doing business as Luphia. “You” means the person (or organization) using the app or site.

These Terms apply to:
- The Luphia desktop app for Windows (installer, portable, or a store package when available)
- The website at luphia.ai and related hosts we operate (account, billing, auth handoff, status, and similar pages)
- Hosted inference, entitlement, and related backend services we run for the app
If you obtained a store package (for example Microsoft Store), that store’s license may also apply to the packaged app. These Terms still apply to the hosted service, your account, and billing.
The service
Luphia is an AI voice scribe for Windows. You hold a hotkey, speak, and cleaned text is inserted into the app you already have focused. Writing styles (for example Refine and Prompt, plus custom styles on eligible plans) change how cleanup behaves.
Luphia is a consumer and small-team productivity tool. It is not a medical device, not a lawyer, not an emergency service, and not a system of record for regulated industries unless you independently make it so. See AI and accuracy.
The product is offered in an evolving public release (including open beta). Features, copy, limits, and supported Windows versions can change. We will try to keep the changelog and status page honest.
Accounts
You need a signed-in account for dictation and other sensitive features. Sign-in uses Google and/or X through our auth provider (Supabase Auth). Google and X identities are separate accounts unless we later offer linking.
- You must be old enough to use online services in your region (at least 13, or the higher digital-consent age where you live).
- Provide accurate information the auth provider shares with us (typically a stable user id, and email or display name when available).
- Keep control of the Google or X account you use to sign in. We are not responsible for access someone gains because they control that identity.
- One person, one account, for ordinary use. You may sign in on the devices you personally use. Do not sell, rent, or publicly share login access.
- We may limit concurrent installs or active devices per account to protect the service and paid plans. You can revoke devices in Settings → Account.
X often omits email. That is fine. We still identify you by the auth provider’s user id. Some billing or support flows work better with an email; if we need one, we will ask.
Your content
You own your content. That includes microphone audio you capture in Luphia, transcripts, cleaned text, notes, dictionary entries, snippets, and custom writing-style prompts you create.
You grant Luphia a limited license to host, transmit, transcribe, clean, cache for a short time, and otherwise process that content only as needed to provide, secure, bill, and improve the service, including through processors named in the Privacy Policy. We do not claim copyright in your dictations. We do not use your dictation content as a staff-browsable cloud library. Short-lived caches and request metadata are described in the Privacy Policy.
You are responsible for your content and for having the rights to send it. That includes not recording other people where you lack permission, and not using Luphia to process material you are not allowed to share with a service provider.
Custom writing styles: if you save a custom style, we may store a sanitized copy of that prompt (not your dictation transcripts) so the style can run and so we can operate safety and product analytics, as described in the Privacy Policy. Do not put secrets in a custom style prompt if you would not want them stored that way.
Local history and notes live on your PC. Uninstalling the app, deleting history, or losing the device (or a vault password) can make that copy unrecoverable. Keep your own backups of anything you cannot afford to lose.
Software license
We grant you a personal, limited, non-exclusive, non-transferable, revocable license to install and use the Luphia desktop app on Windows devices you control, for your own use (or internal use by your organization), subject to these Terms and your plan.
You may not: copy the hosted service; resell Luphia as your own product; bypass license, plan, or entitlement checks; or scrape, overload, or probe our APIs except as a normal user of the app. Reverse engineering that is allowed by law (for example interoperability where a statute says so) is not prohibited by these Terms.
Open-source components bundled with the app remain under their own licenses (see the GitHub repository LICENSE and notices). Those licenses are not replaced by these Terms.
Luphia names, marks, and the look of the product stay ours. You may refer to Luphia accurately (for example “I use Luphia”). You may not imply we endorse you, or use our marks as your own brand.
Acceptable use
Use Luphia for lawful dictation and writing help. Do not:
- Break the law, or use Luphia as the means to harm people, steal accounts, or distribute malware
- Try to defeat Free/Pro limits, rate limits, device limits, or entitlement tokens
- Share an account as a public or commercial pool of access
- Attack, scan, or disrupt luphia.ai, our processors, or other users
- Misrepresent output as something a human wrote when a recipient is legally or contractually entitled to know otherwise — you decide disclosure in your own work; we only ask that you not use Luphia to commit fraud
- Upload or dictate content you do not have the right to process through our providers
- Use Luphia to build a competing hosted dictation API by systematically extracting our prompts, models, or service
We may rate-limit, refuse a request, or suspend an account if we reasonably believe these rules are being broken, the service is at risk, or the law requires it. We will try to tell you why when we can do so without creating more risk. You can ask us to review a suspension — the app has an appeal path when an account is gated.
AI and accuracy
Speech-to-text and cleanup are probabilistic. They can drop words, invent words, change tone, or miss names. Context awareness can guess wrong about the app you are in.
You must review output before you rely on it — especially before sending email, committing code, filing documents, or speaking for a patient, client, or employer. Luphia is an aid, not a substitute for your judgment.
Do not use Luphia as the sole basis for medical, legal, financial, or emergency decisions. If a conversation is too sensitive to send to an AI processor, do not dictate it. Pause the mic or quit the app.
We do not guarantee a particular model, latency, or quality bar forever. We may change models, prompts, and pipelines to run the product, control cost, or improve results. We will not quietly turn your dictation history into a cloud archive; that promise lives in the Privacy Policy.
Plans and billing
Free
Free is meant to stay free of charge for ordinary personal use, with limits (for example a weekly word allowance and a smaller feature set). Current limits are shown in the app and on luphia.ai. We may adjust Free limits, features, and anti-abuse controls with notice when the change is material. Free is not a promise that a specific allowance will never change.
Pro, trials, and complimentary access
Pro is an optional paid subscription (monthly or yearly) billed through Stripe. A trial may be offered at checkout. Complimentary or admin-granted Pro (for example beta testers) is still plan state on your account, not a separate perpetual license, and we may end complimentary access with reasonable notice.
Prices, included features, and word allowances are those shown at purchase or in the product at the time of use. We may change prices or plan contents for future periods. If we raise the price of a plan you already pay for, we will give reasonable notice before the new price hits a renewal, and you can cancel before then.
Cancel, refunds, taxes
- Cancel anytime from the account area on luphia.ai (Stripe customer portal) or by emailing support@luphia.ai.
- After you cancel a paid subscription, Pro continues until the end of the period you already paid for, then Free limits apply.
- Unless the law says otherwise, fees are non-refundable and we do not generally prorate unused time. We may issue a refund or credit as a goodwill exception. That is not a standing policy you can rely on for every case.
- If a trial converts to a paid period, cancel before the trial ends if you do not want to be charged.
- Taxes may be added where required. Stripe handles payment methods; we do not store full card numbers.
- Chargebacks and payment disputes: we may pause hosted inference for that account while we sort it out.
If consumer-protection law where you live gives you a cooling-off or withdrawal right we cannot waive, that right still applies.
Availability and changes
We aim to keep Luphia working. We do not currently sell a formal uptime SLA. Sign-in, dictation, and billing depend on us and on Google, X, Supabase, Stripe, xAI, Cloudflare, and your network. Outages happen.
We may add, change, or remove features; rotate models; throttle abusive traffic; and take the service down for maintenance. If we discontinue Luphia entirely, we will try to give reasonable notice and a way to export what we reasonably can. Local history already lives on your PC.
Windows, antivirus, SmartScreen, and store policies are outside our control. We code-sign releases when signing is configured, but we cannot promise a store, OS, or security product will always treat the app as trusted.
Third parties
Luphia relies on other companies to work. Their terms and privacy policies apply to what they provide:
- Google — optional sign-in
- X — optional sign-in
- Supabase — auth and backend
- xAI — speech-to-text and cleanup models
- Stripe — payments
- Cloudflare — site and delivery
We are not those companies. A failure, policy change, or account action on their side can affect Luphia. We will try to keep the product working through that, without promising we can.
Privacy
How we collect, store, and process personal data is explained in the Privacy Policy, which is part of this agreement. In short: dictation history stays on your PC; our servers keep account and usage metadata, not a transcript library; each dictation still requires in-flight AI processing.
These Terms do not let us do something the Privacy Policy says we do not do. If we ever need a new category of processing, we will update the Privacy Policy rather than hide it here.
Feedback
If you send ideas, bug reports, or suggestions, you grant us a worldwide, royalty-free license to use them to operate and improve Luphia. You still own your own independent intellectual property. We do not have to pay you for feedback, and we may already be working on something similar.
Do not put secrets in feedback you do not want us to see. Diagnostics you choose to attach are handled as described in the Privacy Policy.
Stopping and suspension
You can stop anytime: sign out, uninstall, delete local data, cancel Pro, and/or ask us to delete the server-side account data we hold (see the Privacy Policy for what that covers and what processors retain).
We may suspend or close an account if you seriously or repeatedly break these Terms, if we must do so for law or security, or if the service is being misused in a way that threatens other users or our ability to operate. We will try to give notice and a chance to appeal when that is practical. Immediate suspension without prior notice is reserved for harm, fraud, abuse, or legal demand.
If we discontinue your access and you prepaid unused Pro time, we will refund the unused portion unless we reasonably believe the account was used for fraud or abuse, or the law requires us to withhold it.
Sections that should survive (including your content ownership, disclaimers, liability limits, indemnity, and disputes) survive after the agreement ends.
Disclaimers
Luphia is provided “as is” and “as available.” To the fullest extent the law allows, we disclaim warranties of merchantability, fitness for a particular purpose, quiet enjoyment, and non-infringement. We do not warrant that dictation will be accurate, uninterrupted, or error-free, or that defects will be corrected on any particular schedule.
Some places do not allow implied-warranty disclaimers. If you live in one of those places, some of this section may not apply, and you may have additional rights.
Liability
To the fullest extent the law allows, Luphia and its operator will not be liable for lost profits, lost data, replacement costs, or indirect, incidental, special, consequential, or punitive damages, even if we were told they were possible.
Our total liability for claims arising out of these Terms or Luphia is limited to the greater of (a) the amounts you paid us for Luphia in the 12 months before the claim or (b) US $50.
These limits do not apply to liability that the law says we cannot limit — for example liability for fraud, willful misconduct, or (where non-waivable) personal injury caused by our negligence. They also do not limit your rights under a consumer-protection statute that forbids this kind of cap.
We are not liable for third-party services, your OS, other apps Luphia inserts into, or content you choose to dictate.
If you cause a claim
If a third party brings a claim against us because of content you processed through Luphia, your misuse of the service, or your violation of these Terms or the law, you will defend and indemnify us against that claim, including reasonable legal fees, unless the claim is really about our own misconduct.
This is not a request that everyday users “cover everything that might go wrong.” It is for situations you cause. We will notify you promptly if we intend to ask for this, and we will not settle a covered claim in a way that admits you did something unlawful without your consent, not to be unreasonably withheld.
Disputes
If something is wrong, email support@luphia.ai first and give us a reasonable chance to fix it. Most issues should end there.
These Terms are governed by the laws of the United States and the laws of the operator’s principal place of business, without regard to conflict-of-law rules. If we cannot resolve a dispute informally, either of us may bring a claim in a court of competent jurisdiction in the United States. You and we both can still go to small claims court if the case fits.
We are not asking you to waive a jury, a class action, or other rights except where the law lets us set venue and governing law as above. Mandatory consumer protections where you live still apply.
General
- These Terms are the whole agreement for use of Luphia, together with the Privacy Policy and any plan details shown at checkout.
- If a court strikes one part, the rest still applies, and the struck part should be read as narrowly as needed to stay valid.
- If we do not enforce a term once, we can still enforce it later.
- You may not assign these Terms without our consent. We may assign them as part of a reorganization, sale, or to a successor operator of Luphia, and we will update this page if that happens.
- You will follow export, sanctions, and similar laws that apply to software and AI services.
- Headings are for reading, not for stretching meaning.
- “Including” means “including without limitation.”
